Pursuant to Article 208, paragraph 4 of the Law on Business Companies ("Official Gazette of the Republic of Serbia", No. 127/2008, 58/2009, 100/2011, 67/2013, 100/2017, 82/2019 and 17/2023), the issuer Naša banka ad Banja Luka, with the address Ulica Ivana Franje Jukića no. 1, Banja Luka, hereby announces:

 

NOTICE TO SHAREHOLDERS

 

  • The Assembly of the joint stock company Naša banka Banja Luka, at an extraordinary session held on September 12, 2024, adopted a Decision on the XXIII share issue addressed to an investor who will pay an amount of at least 100,000 KM for the subscribed securities, without the obligation to publish a prospectus.
  • The shares of the XXIII issue that will be issued based on this decision are ordinary (regular) voting shares, class “A”, registered.
  • The total number of shares issued in this issue is 5,000,000 shares, the nominal value of one share is 1.00 KM, which makes the total value of the issue 5,000,000.00 KM,
  • Class "A" ordinary shares grant the following rights: the right to access legal acts and other documents and information of the company, the right to participate in the work of the company's assembly, the right to vote in the company's assembly so that one share always gives the right to one vote, the right to the payment of dividends, after the payment of dividends on all issued preferred shares in full, the right to participate in the distribution of the liquidation surplus upon the liquidation of the company, and after the payment of creditors and shareholders of any preferred shares, the right to pre-emptive acquisition of shares from new issues and convertible bonds and the right to dispose of shares of all types in accordance with the law.
  • Shares issued and acquired in accordance with the Decision on the XXIII Issue may be listed on the stock exchange and traded when the Issuer publishes a prospectus in accordance with the provisions of the Securities Market Law.
  • The issuer publishes a prospectus in accordance with the provisions of the Law on the Securities Market of the Republic of Srpska, no later than one year from the date of registration of shares in the Central Registry.
  • The XXIII share issue was addressed to the investor "GI Finance" doo Zvornik, with the existing shareholders of the Issuer, who are registered in the Central Securities Depository of Banja Luka on the cut-off date - October 2024 , having the right of pre-emption for the shares of this issue.
  • Subscription and payment of shares based on pre-emptive rights will begin on the first business day following the publication of this Notice to Shareholders. The deadline for subscription and payment of shares of this issue, based on pre-emptive rights, is 15 days.
  • Subscription of shares will be carried out at the premises of the issue agent "Monet broker" ad Banja Luka, Jovana Dučića 25 or at the premises of the Issuer, between 08:00 and 16:00, by signing the subscription form in five copies, two of which belong to the buyer.
  • Enrollment can be done in person or through a proxy for a natural person, that is, a legal representative for a legal person, with the attachment of a power of attorney, that is, authorization and an identification document.
  • The selling price of one share of the XXIII issue is 1.00 KM. The shares are fully paid in cash, in convertible marks.
  • Payment is made to the account at the deposit bank: Nova banka ad Banja Luka, number: 5550900066675251.
